Agreement to these Terms
By accessing or using Recono, creating an account, accepting an invitation to a Recono organization, or purchasing a Recono subscription, you agree to these Terms of Service.
If you use Recono on behalf of a dealership, dealer group, company, or other organization, you represent that you are authorized to accept these Terms on behalf of that organization. In that case, references to “you” may also refer to the organization using the service.
If you do not agree to these Terms, do not access or use the Recono service.
The Recono service
Recono provides software for dealership reconditioning operations. Features may include vehicle tracking, recon stages, stage history, assignments, comments, dashboards, reports, team administration, support tools, and related workflow functionality.
Recono is an operational software tool. It does not replace dealership judgment, inspection procedures, repair decisions, safety processes, legal obligations, accounting systems, or other dealership systems of record.
Accounts and access
Access to the Recono application may require authentication through a supported identity provider such as Google or Microsoft. You are responsible for maintaining the security of the account you use to authenticate to Recono.
You must provide accurate account information and may not impersonate another person, misrepresent your affiliation with an organization, or attempt to obtain access to a Recono workspace without authorization.
You are responsible for activity performed through your account to the extent permitted by applicable law. You should promptly notify Recono if you believe an account or organization has been accessed without authorization.
Dealership organizations and administrators
Each Recono workspace is associated with a dealership organization. Organization administrators may invite users, change roles, activate or deactivate users, manage billing, manage plan access, and administer data within the organization.
The customer is responsible for determining which individuals should have access to its Recono organization and for maintaining appropriate user roles and permissions.
If your access is provided by an organization, your use of Recono may be subject to that organization's policies and instructions in addition to these Terms.
Subscriptions, billing, and cancellation
Recono may offer free and paid subscription plans. Paid plans are billed according to the price and billing interval shown when the subscription is created or changed.
Recono is licensed per dealership rooftop unless a separate written agreement states otherwise. Each rooftop subscription provides access to a separate Recono organization and workspace.
Recurring billing
Paid subscriptions may renew automatically at the end of each billing period unless canceled or otherwise changed before renewal.
Payment processing
Recono uses Stripe for payment processing. Stripe may collect and process billing information under its own terms and privacy practices.
Plan changes
Upgrades or downgrades may change available features, usage limits, or the amount charged. Proration may apply when supported by the selected billing configuration.
Cancellation
If a paid subscription is canceled at the end of the current billing period, paid access may remain available through the end of that paid period.
Except where required by law or expressly stated otherwise, fees already paid are non-refundable.
Recono may change pricing or plan structures from time to time. When appropriate, customers will receive notice before a pricing change applies to a future billing period.
Customer data
“Customer Data” means information submitted to Recono by or on behalf of a customer or its authorized users. This may include dealership information, vehicle information, VINs, stock numbers, recon stages, assignments, comments, notes, timestamps, and other operational information.
As between Recono and the customer, the customer retains its rights in Customer Data. The customer grants Recono a limited right to host, process, transmit, display, back up, and otherwise use Customer Data as necessary to provide, secure, maintain, support, and improve the service.
The customer represents that it has the rights and permissions necessary to submit Customer Data to Recono and to permit Recono to process that data as described in these Terms and the Recono Privacy Policy.
Acceptable use
You may use Recono only for lawful business purposes and in accordance with these Terms.
You may not:
- access or attempt to access another customer's organization or data without authorization;
- bypass, disable, interfere with, or defeat authentication, authorization, rate limits, security controls, or tenant boundaries;
- use Recono to distribute malware, malicious code, spam, fraudulent content, or unlawful material;
- use the service in a way that materially disrupts, degrades, overloads, or interferes with Recono systems;
- reverse engineer, decompile, disassemble, or attempt to derive source code from the service except where such a restriction is prohibited by law;
- copy, resell, sublicense, rent, or commercially provide access to Recono to third parties except as expressly authorized;
- use automated methods to scrape or extract information from Recono in a manner that violates these Terms or materially burdens the service; or
- use Recono in violation of applicable law or the rights of another person or organization.
Third-party services
Recono may depend on or integrate with third-party services, including authentication providers, payment processors, hosting providers, communications services, analytics tools, or other infrastructure providers.
Your use of a third-party service may also be governed by that provider's terms and privacy practices. Recono is not responsible for third-party services that are outside Recono's control.
Ownership and limited license
Recono and its licensors retain all rights, title, and interest in and to the Recono software, website, application, interfaces, visual design, documentation, branding, trademarks, and related intellectual property, excluding Customer Data.
Subject to these Terms and payment of any applicable fees, Recono grants the customer a limited, non-exclusive, non-transferable, revocable right to access and use the service during the applicable subscription period for the customer's internal dealership operations.
If you provide suggestions, feedback, or ideas about Recono, you permit Recono to use that feedback without restriction or obligation to you.
Service availability and changes
Recono may add, modify, improve, replace, or discontinue features over time. We may also perform maintenance or updates that temporarily affect availability.
We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free operation, continuous availability, or that every feature will remain available indefinitely.
Recono may establish reasonable technical or usage limits to protect service performance, security, and reliability.
Suspension and termination
A customer may stop using Recono at any time and may cancel a paid subscription according to the available billing controls.
Recono may suspend or terminate access when reasonably necessary to address nonpayment, a material violation of these Terms, security risk, suspected fraud or abuse, unlawful activity, or conduct that threatens the service or other customers.
Where reasonably practical, Recono may provide notice and an opportunity to resolve an issue before suspension or termination. Immediate action may be taken when necessary to protect security, users, customers, or the service.
Provisions that by their nature should survive termination will survive, including provisions relating to ownership, disclaimers, limitation of liability, indemnification, and accrued payment obligations.
Disclaimers
To the fullest extent permitted by applicable law, Recono is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise.
Recono disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement to the extent permitted by law.
Recono does not warrant that the service will always be uninterrupted, error-free, secure, or suitable for every dealership workflow, or that data entered by users will be complete or accurate.
Recono is a workflow and visibility tool. Dealerships remain responsible for vehicle inspections, repair decisions, safety decisions, legal compliance, and operational judgment.
Limitation of liability
To the fullest extent permitted by applicable law, Recono and its owners, affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of goodwill, or loss of data arising from or related to use of the service.
To the fullest extent permitted by applicable law, Recono's aggregate liability arising out of or relating to the service or these Terms will not exceed the greater of the amount paid by the customer to Recono for the applicable subscription during the twelve months immediately preceding the event giving rise to the claim or one hundred U.S. dollars (US $100).
Some jurisdictions do not allow certain exclusions or limitations of liability, so portions of this section may not apply to you.
Indemnification
To the extent permitted by law, an organization using Recono agrees to defend, indemnify, and hold harmless Recono and its owners, affiliates, officers, employees, and contractors from third-party claims, damages, losses, liabilities, and reasonable costs arising from the organization's Customer Data, unlawful use of Recono, material violation of these Terms, or infringement of another party's rights.
General terms
These Terms, together with the Recono Privacy Policy and any applicable written order, subscription agreement, or other agreement expressly incorporated by reference, form the agreement governing use of the service.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
Recono's failure to enforce a provision of these Terms is not a waiver of that provision or any other right.
You may not assign or transfer your rights under these Terms without Recono's consent, except as permitted by applicable law. Recono may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of all or substantially all of the relevant business or assets.
These Terms are governed by applicable law. Any mandatory rights or remedies provided by applicable law remain unaffected.
Changes to these Terms
Recono may update these Terms as the service, business model, legal requirements, pricing structure, or product capabilities change.
When these Terms are updated, the effective date at the top of this page will be revised. If a change is material, Recono may provide additional notice through the service, by email, or through another reasonable communication channel.
Continued use of Recono after updated Terms become effective constitutes acceptance of those updated Terms to the extent permitted by applicable law.
